**Job Title**
Legal Counsel – Corporate / Commercial (3‑5 PQE)
**Role Summary**
Provision of pragmatic, commercially‑oriented legal support across a high‑growth tech business. Works closely with Commercial & Regulatory, Product, Tech, Customer Experience, Marketing, Partnerships, and Sales to review, shape, and safeguard automated legal products and open‑market services for startups. Demonstrated ability to conduct corporate, commercial, and tech‑focused legal work independently, with ownership of projects and outcomes.

- Actively identify, assess, and mitigate legal and commercial risk.
- Build and maintain relationships with cross‑functional stakeholders.

**Key Responsibilities**
1. Draft, negotiate, and review corporate documents: Articles of Association, Shareholder Agreements, Financing Documents (Equity, Convertible Notes, Advance Subscription), and general corporate governance matters.
2. Negotiate and execute commercial contracts, service agreements, data‑protection compliance, and employment documentation.
3. Evaluate and improve the legal soundness of existing automated product suites; collaborate with Product & Tech teams on new features.
4. Advise on regulatory compliance, including GDPR/UK DPA and employment law.
5. Participate in cross‑departmental strategy with Product, Marketing, Partnerships, and Sales to align legal safeguards with business goals.
6. Maintain knowledge database, provide legal training, and contribute to best‑practice sharing within the legal team.
7. Represent legal viewpoint in board‑level discussions and industry forums as required.
**Required Skills**
- Strong corporate & commercial law expertise, with experience in funding rounds, shareholdings, and contract negotiations.
- Deep understanding of data‑protection and employment law relevant to a cloud‑based SaaS.
- Proactive risk‑management mindset; ability to foresee legal impacts and recommend practical solutions.
- Excellent written and oral communication, with meticulous attention to detail.
- Outstanding organisational and prioritisation skills; adept at multitasking in a fast‑paced environment.
- Independent, self‑motivated, confident in decision‑making and ownership.
**Required Education & Certifications**
- Qualified solicitor in England & Wales (enrolled and admitted).
- 3–5 years post‑qualification experience (PQE).
- Right to work in the UK.
