Job Description: **Job title** Banking and Corporate Finance Legal Expert (H/F) **Role Summary** Provide senior-level legal counsel and operational support to the bank’s Corporate and Professional Client Services. Function as the primary legal advisor for structuring, negotiating, and drafting financing facilities (LBO, OBO, syndication, guarantees, etc.), contributing to product development with emphasis on digital and AI-enabled solutions, and ensuring compliance with banking, guarantees, and obligations law. **Expectations** Lead legal risk management for corporate and professional initiatives, maintain up‑to‑date expertise on relevant legislation, deliver tailored advisory at all service levels, and train operational staff on legal requirements and best practices. **Key Responsibilities** - Offer operational legal advice to client managers and corporate teams. - Assist in structuring and executing financing deals (LBO, OBO, syndications, etc.). - Participate in negotiation of corporate and professional agreements. - Draft financing contracts, tailored guarantees (caution, first‑right, confidentiality, etc.). - Contribute to development of new products and digital offerings (partner contracts, factoring, EDI, payment flows). - Produce legal consultations and counsel across all bank departments. - Perform continuous legal monitoring for the assigned scope, assess impacts, and communicate insights to stakeholders. - Conduct training sessions for operational teams on regulatory and contractual matters. **Required Skills** - Master’s level (Master 2/Bac+5) in banking & finance law or business law. - Deep knowledge of obligations law, banking & finance regulation, guarantees, and surety rights. - Proven experience with corporate financing structures (LBO, OBO, syndication). - Strong drafting and negotiation abilities. - Ability to analyze and interpret legislation and translate it into actionable business practice. - Interest and basic understanding of digital technologies and AI applications in banking. - Fluency in French (C2) and business‑level English (B2), including legal English proficiency. - Excellent communication and stakeholder management skills. **Required Education & Certifications** - Master 2 in Banking, Finance or Business Law (Bac+5). - Minimum 10 years of experience in a comparable legal role within a bank or a specialist banking law firm. ---
