**Job Title**
Head of Governance and Compliance
**Role Summary**
Lead the organisation’s governance and compliance function, acting as the Assistant Company Secretary. Drive board processes, governance documentation, and compliance strategy for data privacy, anti‑bribery, competition, and other regulatory frameworks. Provide strategic advice to senior leadership, develop governance tools, and shape a proactive risk culture.
**Expectations**
- Deliver accurate, timely board and committee material.
- Maintain strong, compliant governance records and updates to senior leadership.
- Foster robust stakeholder relationships, ensuring high-quality governance practice.
- Lead continuous improvement of governance maturity and regulatory readiness.
**Key Responsibilities**
- Manage Board and committee processes: scheduling, agendas, minutes, decision tracking, and D&O insurance oversight.
- Administer governance systems (e.g., Diligent, Resolver) and oversee data privacy registry.
- Build and maintain relationships with shareholders, regulators, and governance platform providers.
- Develop and deliver compliance training, policy updates, and frameworks for GDPR, competition law, anti‑bribery, and ECCTA.
- Provide leadership, coaching, and support to two direct reports.
- Advise senior leadership on legal and regulatory obligations, risk mitigation, and compliance strategy.
- Deliver concise compliance updates to the Senior Leadership Team and Board.
- Champion continuous improvement of governance and compliance processes.
**Required Skills**
- Proven board‑level engagement and governance expertise.
- In‑depth knowledge of corporate governance, GDPR, competition law, anti‑bribery, and ECCTA.
- Policy development, training design, and compliance monitoring.
- Strong stakeholder management, communication, and negotiation.
- Experience with digital governance tools (Diligent, Resolver).
- Leadership ability: line management, team development, and autonomous decision‑making.
- Analytical thinking, problem‑solving, and meticulous organisational skills.
**Required Education & Certifications**
- Degree in Law, Business, Compliance, or related field.
- Professional certification preferred: Certified Corporate Governance Professional (CCGP), Certified Compliance & Ethics Professional (CCEP), or equivalent.
- Familiarity with ISO compliance standards is an advantage.
