**Job Title:** Chief Operating Officer (Co-Founder) – Canadian Subsidiary
**Role Summary:** Own and grow a 51% equity stake in a Canadian AI‑consultancy and staffing firm. Lead operational launch, government procurement, sales, and talent functions, leveraging global R&D and AI products.
**Expectations:**
- Secure initial capital (~CAD 115‑125 k) to fund incorporation, regulatory bond, licensing, WBE certification, and 6‑month runway.
- Install a compliant corporate structure, achieve WOSME (WBE) status, and obtain necessary Ontario recruiter and federal industry licenses.
- Drive revenue to meet audited targets of CAD 160‑300 k+ by year 2 through government contracts and high‑margin staffing placements.
**Key Responsibilities:**
1. **Corporate Governance** – Draft/shareholders agreement, incorporate entity, file security bond, manage capital contribution.
2. **Government Procurement** – Register on CanadaBuys, qualify for AI Source List, SBIPS, and federal procurement programs.
3. **Business Development** – Build relationships with supplier diversity leads at banks, telcos, and federal departments; pursue AI‑enabled recruitment and fractional CAIO contracts.
4. **Talent Operations** – Lead the Precision Staffing division: source, place, and manage tech talent using proprietary AI sourcing tools.
5. **Financial Management** – Budgeting, forecasting, and reporting; optimize cash flow and dividend strategy.
6. **Strategic Partnership** – Coordinate with global R&D, executive leadership, and IP assets to deliver world‑class services.
**Required Skills:**
- Proven executive leadership in operations, business development, or technical staffing.
- Deep knowledge of Canadian supplier‑diversity programs (WOSME, WBE, CAMSC).
- Experience navigating federal and provincial procurement (CanadaBuys, SBIPS).
- Strong financial acumen: capital raising, budgeting, and equity‑based partnership management.
- Excellent communication and stakeholder‑management skills.
- Ability to operate independently, make strategic decisions, and drive rapid growth.
**Required Education & Certifications:**
- Bachelor’s degree (or higher) in Business Administration, Computer Science, or related field.
- Canadian recruiter license (Ontario) or willingness to obtain it.
- WBE/Canada Wide Enterprise certification (or eligibility as a female majority owner).
