We're seeking a strategic and hands-on Senior Counsel, Commercial, Data and Strategic Partnerships to lead Fullscript's legal strategy at the intersection of healthcare, data, and technology, and to support other commercial initiatives. Reporting to the General Counsel, you'll lead legal support for initiatives that turn data into insights, partnerships, and growth-from data management and acquisition to commercial and corporate transactions. You'll partner closely with Senior Leadership across Data, Product, Engineering, and Business Development to structure and negotiate high-impact partnerships, manage data governance risks, and support strategic transactions, including partnerships and mergers and acquisitions. What You'll Do
Lead legal support for data-related matters, including data licensing, sharing, governance, and acquisition
Draft and negotiate strategic partnership agreements, commercial contracts, and other business-critical arrangements
Support M&A transactions, from due diligence and deal structure through post-close integration
Provide day-to-day health care compliance and regulatory counseling to internal clients, and advise on the application of laws, regulations, and company compliance policies to a broad range of health care business arrangements and transactions
Partner with internal teams to ensure that data, AI, and technology initiatives are compliant and enable business growth
Advise on U.S. and Canadian health data and privacy laws (such as HIPAA, CCPA/CPRA, PHIPA), and emerging AI regulations
Contribute to internal AI and data governance frameworks, risk assessments, and review processes
Monitor evolving laws and trends in AI, privacy, and digital health to guide strategy and mitigate risk
Serve as a trusted advisor to senior leadership on legal risk and opportunity across data, AI, and health innovation
Build and maintain strong relationships with business stakeholders, serving as a trusted advisor to support their objectives
Support other areas within Fullscript, learning the business from the inside-out with guidance from colleagues What You Bring
Juris Doctor (JD) degree and active bar membership in at least one U.S. jurisdiction
8+ years of progressive legal experience, ideally combining law firm and in-house work within healthcare, digital health, or technology
Proven ability to draft and negotiate complex commercial and data-centric agreements
Demonstrated success influencing executives and cross-functional teams, translating complex regulations into practical business strategy
Understanding of health data, AI, and digital health regulations, including HIPAA, PHIPA, CCPA, FDA, and FTC
Strong business judgment and comfort operating in high-growth, fast-moving environments
